1. Services Provided: The Contractor agrees to provide the following services for the Company on an as-needed basis:
- Real estate photography;
- Aerial photography and video;
- Videography;
- 3D scanning;
- Floorplan creation;
2. Independent Contractor Relationship: Contractor is an independent contractor, not an employee, partner, or agent of the Company. The Contractor is responsible for all applicable taxes and shall provide a valid IRS Form W-9 prior to receiving payment.
3. Compensation: Company shall compensate Contractor on a weekly basis, with payments issued on Sundays for completed work. No additional reimbursement shall be made for transportation, gear, or other expenses unless otherwise agreed in writing.
4. Ownership and Use of Work: All photographs, videos, scans, floorplans, and related materials (“Work Product”) produced under this Agreement are the sole property of the Company. Contractor:
- Assigns all rights, title, and interest in the Work Product to Company.
- Shall not use or share the Work Product for personal, commercial, or portfolio purposes without agreement with the Company.
5. Confidentiality: Contractor shall not disclose, use, or retain any client information or project details for any purpose other than performing services under this Agreement. This obligation survives the termination of the Agreement.
6. Equipment and Transportation: Contractor shall provide and maintain their own professional-grade equipment and reliable transportation necessary to perform the services.
7. Insurance: Carrying general liability or professional insurance is preferred but not required under this Agreement.
8. Term and Termination: This Agreement is ongoing and may be terminated:
- By either party with two (2) weeks' written notice, or
- Immediately by either party for a material breach of this Agreement.
9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois.
10. Entire Agreement: This Agreement contains the entire understanding between the parties and supersedes any prior agreements. Modifications must be in writing and signed by both parties.
