Repropix Corp.,

(the "Company"),  

WHEREAS, the Photographer is a professional photographer who provides real estate photography services; and
WHEREAS, the Company is engaged in the business of providing real estate visual services, and requires the services of the Photographer for these services;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties hereto agree as follows:
 
1. Services: The Photographer agrees to provide real estate photography services to the Company in accordance with the terms and conditions set forth herein.

2. Non-Compete: The Photographer agrees that during the term of this Agreement and for a period of 36 months following the termination of this Agreement, the Photographer shall not directly or indirectly provide photography services to any competitor or client of the Company within Chicago Metropolitan area and State of Florida without the prior written consent of the Company.

3. Confidentiality: The Photographer shall not disclose to any third party any confidential information of the Company, including but not limited to any trade secrets, client lists, or pricing information.

4. Ownership: All rights, title, and interest in and to the photographs created by the Photographer shall be owned by the Company. The Photographer shall assign all copyrights, trademarks, and other intellectual property rights in the photographs to the Company.

5. Indemnification: The Photographer agrees to indemnify and hold harmless the Company, its officers, directors, agents, and Contractors from any claims, damages, or expenses arising from any breach of this Agreement by the Photographer.
 
6. Term and Termination: This Agreement shall commence on 04-16-2026 and shall continue until terminated by either party upon 14 days' written notice to the other party. Upon termination, the Photographer shall return all property of the Company in the Photographer's possession.

7. Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of Illinois. Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of the American Arbitration Association.

8. Entire Agreement: This Agreement constitutes the entire agreement between the parties hereto and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

9. Modification and Waiver: This Agreement may not be amended or modified except in writing signed by both parties. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Non-Compete Real Estate Photographer Subcontractor Agreement as of the date first above written.
