Terms of Use

The “Terms of Use” (also referred to as “Terms” or “Agreement”) found on Repropix.com is a contract between you, the client, and us, Repropix Corp. We, Repropix, provide you with limited, non-transferable, and non-exclusive rights to access, view, use, display, and print the information on our site, inclusive of all materials, strictly for your personal, non-commercial, and informational purposes. Without Repropix’s prior written consent, you are not allowed to copy, modify, reproduce, create derivative works from, distribute, transmit, license, or sell any content or sections of our site. Typically, Repropix is willing to provide permission for such uses, provided we receive proper acknowledgment. However, our express written consent is mandatory.
Repropix also offers an online technology platform for clients through their Repropix Account. This platform enables access to and use of Repropix services, including the option to purchase certain products or services, collectively referred to as “Paid Services”. It’s crucial for you to thoroughly review the Terms before continuing to use these Sites, the Service, or any Repropix products or services.

Ownership of Site
Repropix owns and operates the Service and the Site. You’re not allowed to copy, store, display, reproduce, distribute, sell, license, sublicense, publish, or create new works from any content or materials on the Site or available through the Service unless you have written permission from Repropix or the copyright holder named in the content’s copyright notice. Repropix owns all images and media (“Content”) and keeps ownership and licensing rights to all Content. Clients can use the Content only for marketing-specific properties. Using the content for anything else is against the law without written consent from Repropix.

Acceptance of Terms
By using the Site or Service, you’re saying that you accept these Terms and will follow them. This means you’re making a contract with Repropix that says you’ll use the Service only in ways that fit with these Terms. You can only use the Site and the Service if you follow these Terms. If you don’t agree with the Terms, don’t use the Site or Service. Some pages on the Site might have extra terms and conditions. You have to follow those too. If these Terms say something different from other materials (like promotional materials and mailers), these Terms are what count for the Site and Service. You have to be 13 years or older to use the Site or Service. If you’re under 13, you shouldn’t use the Service or Site.

Changing Terms; Ending the Agreement
We can change these Terms at any time. If we make big changes to the Terms, we’ll put the new Terms on the Site and update the date they went into effect. So, we suggest you check the date of the Terms whenever you visit the Site to see if we’ve updated them since your last visit.

This Agreement and the Service will continue until we end them as described here. You can end this Agreement at any time. You agree that Repropix can end this Agreement, stop the Service or Site, or end your account and delete any content in your account without telling you first. You agree that Repropix can do these things for any reason, including if you don’t follow these Terms or if a regulatory authority makes us do it, or we can do it without a reason.

When this Agreement ends or when the Service stops, all the rights, and licenses that Repropix gave you end right away. But, any rights and licenses you gave to Repropix don’t end when the Agreement or Service ends. Those rights and licenses keep going after the Agreement or Service ends.

Content
Repropix presents all Content on a custom web page and hosts it on Repropix servers for a year as part of the Repropix production package. If you want to host beyond the first year, you’ll need to pay an extra fee.

Password
When you sign up as a Repropix Account user, we’ll ask you to create a password. You’re the only one who should use this password to access and use the Service. Since you’ll be responsible for all activities that happen under your password, it’s important to keep your password secret. If someone else uses your password without your permission or if you think your password isn’t secret anymore, you need to tell Repropix right away. We might ask you to change your password if we think it’s not secure anymore. We can trust anyone who uses your password, and we’re not responsible if your password isn’t secret or if someone uses it without your permission.

Information You Give Us
You agree to give us true, accurate, current, and complete information when you sign up and at all other times, including all information you give us when you use the Service. You also agree to make sure this information is always true, accurate, current, and complete. This is especially important for your email address since that’s the main way we’ll communicate with you about your account and your orders. You agree that Repropix can use any information you give us for any purpose, including developing, changing, making, and marketing products and services and changing or improving the Site and Service, without paying you, acknowledging you, or giving you any compensation.

License to Use the Website and Service
As long as you follow the Terms, Repropix gives you a limited, non-exclusive, non-transferable right to use the Service and, as part of that, to submit graphic images, photographs, text, and related data.

Monitoring Content
Repropix doesn’t control the content of users’ accounts and doesn’t have to monitor this content for any reason. You agree that you’re the only one responsible for all content and material you provide to the Service.

What You Can’t Do
You agree that you won’t:

– Use the Site or Service for anything illegal.
– Upload, download, publish, post, order for print, email, or otherwise send or communicate any material that’s obscene, offensive, blasphemous, pornographic, illegal, threatening, menacing, malicious, fraudulent, misleading, harmful to any equipment, software, or other property, false, invades someone’s privacy or publicity rights, defames someone, is vulgar, illegal, or otherwise objectionable.
– Upload, download, publish, post, order for print, email, or otherwise send or communicate any material that you don’t have the right to send or communicate under any contractual or fiduciary relationship or that infringes any copyright, trademark, patent, or other intellectual property right or any moral right of any party, including Repropix.
– Harm minors in any way, including violating child pornography laws, child sexual exploitation laws, and laws that prohibit showing minors in sexual conduct.
– Interfere with, harm, or disrupt (or try to interfere with, harm, or disrupt) the Site or Service or servers or networks connected to the Site or Service, or disobey any laws, requirements, procedures, policies, or regulations that govern access to or use of the Site or networks connected to the Site or Service.
– Access or try to access any information, documents, or material that you’re not allowed to access.
– Use any robot, spider, or other programmatic or automatic device to get information from the Site or to monitor or copy any part of the Site.

Personal Use
Repropix provides you with a non-exclusive, non-transferable, limited right to access, view, use, display, and print information on this site, including all materials, for your personal, informational, and non-commercial use only.

You must not copy, modify, reproduce, create derivative works from, distribute, transmit, license, or sell any content or any part of this site without Repropix’s prior express written consent. Generally, Repropix will grant permission for such use, provided Repropix is properly acknowledged, but the prior express written consent of Repropix is still required.

License
Repropix retains all copyrights for works created or produced by Repropix, its affiliates, employees, contractors, and subsidiaries. Unless specifically agreed to in writing, Repropix grants you a non-exclusive, non-sub-licensable, revocable, and non-assignable right to use the Licensed Content solely for the sales and marketing of the property depicted in the Licensed Content while it is listed with you. Any non-compliance may result in revocation of the license at Repropix’s discretion.

Repropix also grants you the limited right to sublicense the Licensed Content to multiple listing services (MLS) for database use, provided you are a member of each such MLS, and these sublicenses are not further sub-licensable.

License Restrictions
You may not alter, change, manipulate, or combine the Licensed Content without Repropix’s prior written permission. You may not incorporate the Licensed Content into any logo, trademark, or service mark. You are not permitted to sell or collect payment for the use or display of Licensed Content produced by Repropix, nor assign the rights granted to you by Repropix to any third parties without express written consent.

Copyright Policy and Reporting of Violations
Repropix respects copyright law and expects you to do the same. Unauthorized use of copyrighted works is an infringement of the copyright holders’ rights. Repropix’s policy is to terminate access to users who repeatedly infringe copyrights.

If you believe your copyright has been violated through this Service, contact Repropix’s Designated Copyright Agent using the following notice form:

– Identity of the copyrighted work claimed to have been infringed.
– Identification of the material claimed to be infringing (including sufficient information to locate the material on the Site or Service).

Disclaimers
Repropix provides the service, the site, and all other related products and services “as is”, without any warranties of any kind. All express, implied, and statutory warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed to the fullest extent permitted by law. This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.

Limitations of Liability and Damages
Repropix, its affiliates, employees, officers, representatives, service providers, and suppliers shall not be held responsible or liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or relating in any way to the site, the service, the member creation, the member works, the third-party content, or information contained within the site. This includes but is not limited to, your downloading or uploading of any material or documents or your use of any application or functionality associated with the site or service.

Paid Service: Sole Remedy
Your sole and exclusive remedy for failure to deliver a paid service or breach of any obligation for a paid service shall be a refund of the amount paid for the specific paid service at issue. In no event shall Repropix’s liability for failure to deliver such item exceed such amount.

Indemnification
You agree to indemnify, defend and hold harmless Repropix, its officers, directors, employees, agents, licensors, suppliers, and any third-party service providers to the Site and/or Service from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising from any breach of these Terms or of any representation, warranty, or covenant you make herein.

Paid Service: Prices/Cancellation
The rate for any Paid Service shall be set forth on the Repropix online order form. All rates are stated in U.S. dollars and are valid until altered by us. If a Paid Service on this Website is mistakenly listed at an incorrect rate, Repropix reserves the right to refuse or cancel any orders placed for the Paid Service listed at the incorrect rate.

Repropix Corp. Copyrights and Trademarks
Repropix® is a trademark, whether registered or unregistered, of Repropix Corp., in the United States and/or other countries. All of the images, animations, and derivative images on this website and all of the images, animations, and/or derivative works provided by Repropix Corp. to any third party as part of its services are fully protected in the United States and/or other countries under the Berne Convention, TRIPS, and local Copyright Law(s). Repropix Corp. is the sole and exclusive owner of all of these images, animations, and/or derivative works.

General
These Terms, including the Privacy Policy incorporated by reference, constitute the entire agreement between Repropix and you with respect to your use of the Site and the Service. You may not assign the Agreement and/or any of the rights or obligations contained therein. Repropix may freely assign this Agreement and the rights and obligations contained therein.

Trademarks
All brand, product, and service names used on the Site or in this Service that identifies Repropix or third parties and their products and services are proprietary marks of Repropix and/or the relevant third parties. Nothing in the Terms shall be deemed to confer on any person any license or right on the part of Repropix or any third party concerning any such image, logo, or name.
